# **Field Engineer (Draw-Down) SOW**

This Statement of Work (“SOW”) is governed by and incorporates by reference the Professional Services Agreement (“Agreement”) between Notional Technology Ltd (“Notional”) and Customer, available at [https://orbitalhq.com/terms/professional-services-msa](https://orbitalhq.com/terms/professional-services-msa) (the version of the Agreement in effect at the time this engagement was accepted).

**By proceeding with this engagement through any of the following actions, Customer agrees to be bound by both this SOW and the Agreement:**

-   Accepting a quote referencing this SOW
-   Submitting a purchase order referencing this SOW
-   Making payment against an invoice for these services
-   Requesting commencement of services described herein

**Customer Authority:** The individual acting on behalf of Customer represents and warrants that they have authority to bind Customer to this SOW and the Agreement.

## [​](#1-scope-of-services)1\. Scope of Services

Notional will provide up to 12 days of consulting services delivered by a senior Orbital engineer, drawn down in 0.5-day increments, within a fixed 3-month period from the service commencement date.

Services may include (but are not limited to):

-   Implementation support for Taxi schemas and TaxiQL queries
-   Deployment assistance for the Orbital platform
-   Performance and configuration tuning
-   Technical and strategic review of Taxi projects
-   Code review

**Service Delivery:**

-   Services delivered remotely (via Google Meet) or in person (London, UK) if agreed and resourced
-   Services rendered during UK business hours (Monday to Friday, 9:00am to 6:00pm UK time), excluding UK public holidays
-   Notional is under no obligation to provide services outside these hours; exceptions must be explicitly agreed in writing in advance
-   Travel to other locations may be arranged by agreement, with reasonable expenses (transport, accommodation) covered by Customer upon presentation of valid receipts

## [​](#2-fees-and-payment-terms)2\. Fees and Payment Terms

This is a fixed-price, non-cancellable engagement. Days not used within the draw-down period will expire and are non-refundable.

-   **Fees and payment terms**: As specified in the applicable quote or invoice
-   **Non-refundable**: All fees are non-refundable except as explicitly stated in Section 3.4 below
-   **Expiration**: Any unutilized days shall expire at the end of the 3-month period with no refund or credit

## [​](#3-term-and-termination)3\. Term and Termination

1.  This SOW is effective upon Customer’s acceptance and will expire 3 months thereafter unless otherwise extended in writing
2.  This SOW may not be terminated for convenience by Customer
3.  Per Section 5.2 of the Agreement, termination of the Agreement will not affect the validity or continuation of this SOW, which shall remain in full force until completion or earlier termination per Section 5.3 of the Agreement
4.  If Customer terminates this SOW in accordance with Section 5.3 of the Agreement due to material breach by Notional, Notional will provide a pro-rata refund of any unused, prepaid days
5.  Except as stated above, all prepaid fees are non-refundable, and any unutilized days shall expire at the end of the 3-month period

## [​](#4-customer-responsibilities)4\. Customer Responsibilities

Customer agrees to:

-   Designate a project manager as point of contact
-   Ensure team availability for sessions
-   Provide access to environments where support is required
-   Give reasonable scheduling notice for booked sessions

## [​](#5-draw-down-usage)5\. Draw-Down Usage

1.  Services are consumed in 0.5-day increments (4 hours). Whether a draw-down is triggered is determined at Notional’s discretion, based on the nature, impact, and context switching required to fulfil Customer-initiated requests.
    
    Once triggered, draw-down usage is calculated based on actual time spent, rounded up to the nearest 0.5-day increment.
    
    This may include synchronous or asynchronous work such as meetings, reviews, deployment support, troubleshooting, or other engineering engagement.
    

**Examples of activities that typically trigger draw-down:**

-   Scheduled consulting sessions
-   Code review or technical assessments
-   Custom configuration or implementation work
-   Troubleshooting and debugging sessions
-   Strategic or architectural reviews
-   Requests requiring substantive engineering effort (typically >15 minutes)

**Examples of activities that typically do not trigger draw-down:**

-   Brief clarification questions or guidance (typically <15 minutes)
-   Scheduling coordination and administrative tasks
-   Sharing of existing documentation or resources

2.  Customer approval is not required to trigger draw-down once a request has been made. Notional will act in good faith to ensure usage aligns with the intended purpose of this engagement.
    
    A usage log will be provided monthly, and is available upon request at any time.
